2. Overview

VAHFT is about to launch a series of Mutual Funds within the Vahrokh’s EvE’s Merchantile Exchange [VEMEX]. The purpose of this IPO is to raise Investors capital to finance the initiative. VAHCO is going to be invested as well, for an amount of 10B evenly spread across the funds.
Funds are meant to be a long term investment, however Investors may choose to stay invested for as little as one month.
VAHFT opted to offer a series of multiple funds in order to cater to different Investor preferences.
The products cover a broad spectrum, from a “no brainer” simplified open end fund to more speculative funds based on Tech 2 materials.

3. Funds offering

This IPO covers five Funds: one open ended Fund and four close ended ones.
A comprehensive listing of VAHFT managed funds including the ones included in this offer is available on the VAHFT page.
A lot of discussion and explanations about the Funds has been done on the draft thread.

Easy Fund [ESYFND] is the no brainer, no-nonsense open end fund for everyone. Lowest fees, no secondary market, you just put money in and receive monthly (end of month) dividends. Like the other IPOs and unlike bonds, those dividends are variable. Due to its underlying portfolio, it is also the Fund with the smoothest (but not top) performance.
For a full description and details about the Easy Fund please refer to the official prospectus, available at this location.

Adaptive Minerals Basket [MINBSK] is the high liquidity and lowest cost closed fund for Investors who want to take advantage of being able and trade shares on an exchange. They will also receive monthly dividends. The Fund is based on an ever changing basket of minerals. For a full description about the Adaptive Minerals Basket Fund please refer to the official prospectus, available at this location.

Adaptive Ices Basket [ICEBSK] is the high liquidity and low cost closed fund for Investors who want to take advantage of being able and trade shares on an exchange. They will also receive monthly dividends. The Fund is based on an ever changing basket of ices and related materials (i.e. heavy water). For a full description about the Adaptive Ices Basket Fund please refer to the official prospectus, available at this location.

Adaptive Tech II Basket [T2BSK] is the speculative closed fund for Investors who want to take advantage of being able and trade shares on an exchange. They will also receive monthly dividends. The Fund is based on an ever changing basket of moon and advanced Tech II materials. For a full description about the Adaptive Tech II Basket Fund please refer to the official prospectus, available at this location.

Adaptive Planetary Interaction Basket [BSK] is another speculative closed fund for Investors who want to take advantage of being able and trade shares on an exchange. They will also receive monthly dividends. The Fund is based on an ever changing basket of Planetary Interaction commodities. For a full description about the Adaptive Planetary Interaction Basket Fund please refer to the official prospectus, available at this location.

4. VEMEX Exchange

All the Funds covered by this IPO will be traded on the Vahrokh’s EvE’s Merchantile Exchange [VEMEX].
Easy Fund Investors will have little interaction with it, in fact at IPO launch they’ll receive their shares and everything will go on autopilot until they want to redeem them (redeeming is done by “selling” on the Exchange). Perspective Easy Fund Investors who will join the Fund after the IPO launch will have to use the Exchange to purchase the shares instead.

In this first iteration, VEMEX is a traditional, teller based securities trading exchange.
There’s a quite detailed page explaining in detail how it works, possible fees and so on.

This version of VEMEX is based on a Google Spreadsheet available at this location.

Illustrated usage examples about how to use the exchange to setup orders are provided in the draft thread, at this post.

In case of difficulties, please feel free to EvE-Mail me and ask about your issue.

5. Business Plan Overview

The Funds Manager will perform a number of activities, namely:

– Invest in fully collateralized loans and bonds (Easy Fund only).
– Buy and hold and then sell the various Funds underlying commodities (long term strategy).
– Station trade the various Funds underlying commodities (short term strategy).
– Decide if and when to switch from long to short term strategy or when use a mix of the two. The short term strategy will be mostly used during downturns of the markets (see summer). As a safety precaution, lower profits will be chosen over overwork leading to burnout.
– Constantly evaluate the current baskets underlying commodities, in order to take in the better performers and out the worse performers.
– Decide one or multiple hedging strategies, including saving some of the profits made in the best seasons in order to release them during the worst ones (this makes the investment curve smoother).
– Decide how much capital to keep liquid. This is going to be expecially prevalent on the Easy Fund, because Investors may come and go as they wish and thus a certain guaranteed liquidity has to be held.

6. Management

Due to the number of tasks involved at managing the Funds, there will be a management fee, in the meausure of 7 percent on the net capital gains.
Full details about this and other aspects about the Funds are available at each Fund’s prospectus page.

After the reservation phase is over and Investors have sent their money, each of them will receive a corresponding number of shares. From now on, Easy Fund Investors have nothing else to do, while the others may either do nothing (and just take dividends) or trade their shares.

7. Expansion and Exit Strategies

In case the funds are performing very well and are close to their caps, they may be expanded.
Closed end funds will have additional shares issued and current Investors holdings will be adjusted so that their shares don’t get diluted. Notice how this is going to be a very rare event.
The Easy Fund is open ended instead, so it may potentially grow forever. It is going to be capped however, the planned total NAV across all the funds is 100B, with a forecast ability to output a 2 percent ROI.

In case the Funds have to shut down, the Management will do the possible to liquidate the underlying stock as fast as possible. This may take a while in case of low EvE activity periods of the year.

8. Investor Key Facts

– At IPO launch, the shares face value is 1M ISK. This applies to all the funds.

– Dividends will be paid monthly, possibly within the end of the first week of the month. The first dividends will be paid on December.

– Dividends will be calculated as 90 percent of the profit less the management fee. It is possible that some profits could be held to improve the “low of the year” months performance.

– VAHFT may force buyback of shares at their nominal value (in example, in case of Funds shutdown or downsizing). If possible buybacks will be notified a month in advance. Buybacks will be spread across all the Investors of the affected Fund.

– There is a grand total NAV cap currently set at 100B. The closed end Funds total NAV cap is currently set at 60B, leaving 40B for the Easy Fund. Depending on the IPO success, these caps may be altered but the 100B grand total cap is here to stay. At first, Market Makers will be limited to 40B (of the closed end Funds, the only available to them).

– All the IPO launch shares incur in no fee whatsoever and they will not need to do anything on the exchange at all. Only post launch activities will and usually only in case of sales.

– Easy Fund Investors may simply redeem their shares, they don’t have a secondary market. They may also trade their shares out of the exchange but then they will have to notify VAHFT about that, otherwise the old shareholder will still receive the dividends. In case of private trading, the former share holder is meant to give a pro-rated dividend to the new share holder. In no circumstance VAHFT or VEMEX will disburse missing dividends.

– Closed end Fund Investors may not just redeem shares. Like for stocks trading, they have to find a buyer on the exchange. VAHFT provides a “bailout” emergency mechanism so that even closed end Fund Investors may directly sell their shares back to VAHFT itself, but with a fixed penalty of 8 percent. Added to the exchange fee, this easily becomes 10 percent.

– The ability to short sell is only available to closed end Funds. VAHFT may decide at their sole discretion to stop accepting short sell orders (they require additional liquidity).

– Only the current owner of a share receives the full dividend. Therefore it’s advised to sell shares near the end of the month. This includes Easy Fund Investors who want to redeem their shares.

– In case of large redeeming operations, VAHFT reserve the undisputable right to partially liquidate Investors ASAP and the remaining part as stock is liquidated. This issue will be greatly reduced in case the Investor contacts the Management (Vaerah Vahrokha, please always use EvE Mail so to have written records) in advance. Two weeks would be the optimum.

9. Market Makers

Only at IPO launch and at expansions, large Investors may choose to be a Market Maker. Market Makers have unique features and limitations:

– They will only pay 96 percent of face value, that is 0.96M per share. This is a potential 400M profit – fees just by flipping those shares on the secondary market.

– They must tell about their will to be Market Maker at reservation phase and no later.

– They only belong to the closed end funds, since there’s no market to make in the Easy Fund.

– Minimum shares block: 10B in the preferred fund(s). It’s possible to spread those 10B across multiple close ended funds.

– They cannot emergency redeem shares for 3 months. They have to tell Vaerah Vahrokha about their intention to bail out well in advance, since taking away their large investment will cause liquidity issues on the Fund(s).

10. Significant Risks

No investment is without risks. Please don’t invest more than you may affort do lose. Past performance is not indicative of future results.

A list of potential investment risks is provided at the end of each Fund Prospectus.

Besides the above list, there are others:

– Risk of scam. The Fund Manager strives to be as honest as humanly possible. Trust is earned, not given. The Fund Manager knows it and accepts Investors may have their doubts.

– Risk of injury: in case of non disabling disease / sickness / trauma, the The Fund Manager will try resume the Funds operation ASAP.

– External causes: in case of debilitating technical issues or any kind of game stopping issues, The Fund Manager will try resume the Funds operation ASAP.

– Risk of death: this IPO is an extremely complex project. I don’t know anybody in RL who could take over or even who could manage how to liquidate everything. Therefore in case of death the invested money will be probably lost or partially lost.

11. Reservations

As anticipated in another post, no shares reservations will be accepted before a post of mine will state that the reservations are open. Such post should appear at 2012-10-21 9pm EvE time.

Reservations will work on a first come, first served basis up to the stated caps. Investors indicating their interest past those caps have been reached have still chances. In fact if some Investor will not send ISK within 3 days after the reservations are over or if a cap is modified then they’ll be the next in line.

12. Delegations

It’s possible to name a Delegate to reserve your shares in your place. This is expecially useful in case you cannot participate to the reservations. Both the Delegate and the Investor have to post about their intention. During the reservations, the Delegate will have to specify the exact portfolio else his reservation will be void.

13. Purchase Details

The IPO will work as follows:

1) A specific message posted as described at chapter 11. Reservations will begin the reservation phase.

2) Once the reservation phase is over (might take some days) a second message will state how the reservations are over. However. if the Funds are still not capped, perspective Investors will still be able to place reservations.
The message is only to remind everybody that there are 3 (three) days left to send ISK.
After those 3 days, their reservation will automatically be void and whever wants in will be free to invest in their place.

Please feel free to ask for any clarification.
I think this is a great idea.

I am all for the ability to donate to charity using ISK. Gives me a good feeling about spending so much time paying Eve and making ISK

Eve radio and some others took in small donations during the last charity drive, and I am all for being able to donate amounts smaller than a PLEX. Every little bit counts.

I initially pledge 500m towards this charity- though I am not yet sure whether I want to manage it myself or give it to the fund.

Best of luck.

I am seeking 10 billion isk for this purpose. The bond will run for a guaranteed minimum of at least 3 months and will be 120% collateralised. I will initially ask Grendell if he will hold the collateral; if not I will turn to one of the other trusted forum figures.

The basic interest rate being offered is 4%. However, I will give priority to anyone accepting a 3% return. Please indicate your minimum rate in your reservation post below.

Risks: Fully collateralised, so default/scam/hit by a bus is minimal.

Edited by: RAW23 on 07/07/2010 20:07:30
Thanks for all the interest in this.

flakeys – I thought you were busy trading with your isk rather than investing it, otherwise I would have got in touch .

Unless anyone objects, I think I will take up both the 10bil secured bond and 10bil unsecured from flakeys . I’ll see if I can actively put together a reasonable size loan book, rather than just passively loaning money to those who have contacted me.

The investors in the secured portion will be:

Dezolf – 200mil
Martosh Toma – 2bil
Gromm Stargazer – 2bil
Kithran – 250mil
Grendell – 5.55bil

And in the unsecured portion:

flakeys – 10bil

all at 3%.

flakeys – feel free to send the isk through whenever you are ready.

Could I ask investors in the secured portion to wait until Grendell confirms receipt of the collateral. I should send this over later today.

@Lost Hamster – Sorry you didn’t get in on this. If you do want to invest a bil at 3% let me know and I will lodge some extra collateral with Grendell.

@Grendell – Many thanks for holding the collateral as well as investing. Much appreciated!

I’ve given this a bit of thought and this bond will be continuing. I will, however, be seeking to change the terms of the bond with the agreement of the bond holders (or, technically, close and then restart the bond). With the recent rises in the price of Technetium its sell order value is in the 65k range now. The collateral consists of 350k units, giving a sell order value of just under 23bil covering the secured 10bil section of this bond. I would like to withdraw half of the collateral in order to give myself some additional flexibility (actually, I’d like to withdraw it all ). Please let me know whether this is acceptable.

@LostHamster – when I next pay the interest on the 7th of October please send your 5.5bil investment direct to Grendell. There is no need to complicate things by passing it through me.

In other news: earlier in the thread I mentioned that I had an additional 10bil in unsecured loans from flakeys (in addition to his 10bil in this bond). These will be repaid by the 7th of October. I also currently have a further 20bil in secured loans from flakeys. These have at least another month to run.

I will provide a brief report on my investments when I pay out the next batch of interest.

Due to a number of reasons, I have chosen to close out the secured portion of this bond early. Next month’s nterest plus the initial investment have all been returned. The reasons are:
1. No responses to my request to withdraw half the collateral.

2. The Technetium market moving much faster than I had anticipated, making it more important that I get my grubby mitts on the collateral.

3. The decisive factor, though, was flakeys computer breaking (damn you Acer!!!) whilst he holds another 25-30bil of my stuff as collateral, including the rest of my tech.

So, sorry for misleading anyone who wanted to remain invested. If you want to send the isk back to me and lodge it in the unsecured portion of the bond at 3% please feel free.

Thanks for the investment and for helping me make a bit of extra cash whilst my speculation stocks matured!

This is an IPO from a new face. Like many in EVE I have taken part in various forms of PVE and PVP. In this time I have traded off and on but due to changes in RL circumstances and a changing style of play/goal development I have taken to trading more seriously. I have been quite profitable in the last couple of months and the next step to my EVE enjoyment is launching my own company. I’m the kind of person that likes spreadsheets, databases and empire building, so this game and running an IPO appeals to me.

I have several accounts and many alts. I’m not going to list all my faceless trade alts, PVP alts, cyno alts etc. etc.. Arcyaxiom would be my ‘main’ if any can count as that though, but I love all my alts equally None of my characters are tied to any politics or alliances or have any conflicts of interest and I can’t think of anything else to say about this? You should of course do your own research on anyone making an offer on MD and make your own mind up about them.

2 – Company Structure

I am a 1 man band, like many others, and have no intention of opening up the corp wallet to outsiders. It will be accessed by my characters and mine alone. Any risks you take are taken with me, and me alone (well, and the 3rd party, but that’s a risk we take together!) Any changes to how the company is structured would not be undertaken without public consultation. If any services are outsourced they will be done without risking corp assets.

3 – The Business Model

At this moment it is 99% in-station trading. There’s nothing magical about this or new, I buy low and sell high and the spread is called profit. This is done in Jita 4 4. I do on occasion go scouting outside to different regions for any ‘bargains’ and this can often bring in quick and high profits. Any hauling is done securely either with T2 transport or freighter services. All hauling will be fully collateralised so company assets are not risked.

I have in the past few months manufactured ships also, which was nicely profitable, but have withdrawn to concentrate on trading. As the company NAV builds other avenues may be explored, such as expanding back into manufacturing, to take full advantage of the capital available, but intend to keep the business as highly liquid as possible. I can’t abide a lazy isk, all isk must work to make more isk! That is their job in my company

4 – The Company Today

At present the company NAV is 5.5 BILLION ISK this includes both liquid and assets, 2.5billion of which is presently held as collateral.

5 – IPO Details

Price per share is 1million isk per share (1,000,000/share)

Dividends will be scheduled to pay monthly from launch date

Projected return is 10% per share.

Min/max investment: Minimum 1 share, maximum 500 shares of secured portion per person, no set individual maximum of unsecured shares (if you wish to take on the risk you’re more than welcome to it!)

Profits will be sent as dividend payment to shareholders, with the initial breakdown as follows:

2000 Shares retained by company to ensure continued growth
5000 Shares held by myself
2000 Shares in secured portion
4000 Shares (anticipated) in unsecured portion
500 Shares allocated for VVs fund*

Edited by: Arcy Dorei on 07/01/2011 02:34:37
Secured portion: This is the guaranteed portion of the IPO. I will secure this, through BPOs with a third party, to 110% – 1,100,000 per share. This guarantee will continue throughout the company lifetime should anything happen to me, I disappear, or should I fail to payout dividends. This guarantee is in place with the condition that it will apply 2 weeks after a late payment date. Unless shareholders are notified in advance to any problems I may have with paying dividends on time and suitable arrangements are in place against this then 2 weeks after a late payment date the 3rd party is authorised to commence a share buyback at 110% of the original price, shares to be sent to the third party and the isk returned by them.

Unsecured portion: This portion of the IPO is to be opened to people I know ingame, corp mates, etc. Anyone may reserve part of this if they choose to do so BUT do not be mistaken, it is NOT collateralised and as such is undertaken at your own risk. Please state clearly how much UNsecured shares you wish to buy along with any secured shares you wish to purchase when posting, if you wish to have more than the 250 share individual maximum, or if those shares sell out and you still wish to invest in the company.

Launch: The IPO will launch when the secured portion has been filled and isk is received. The unsecured portion will remain open for people to purchase, up to the 4000 shares maximum, but the IPO will launch regardless of how full this portion is. As this portion may take longer to fill the shares will be created as and when needed, so when dividends are sent it is not split amongst inactive shares.

*VVs what?? I like the idea VV proposed of generating a fund for plexes to donate in future CCP charity initiatives. I have decided to allocated 500 shares for this. These shares will be held in corp wallet and as such dividends paid out will also be held in the corp wallet, this will allow for continued growth. Through tracking the dividend payments I’ll be able to keep track of how much is allocated for the fund. I will then use this isk to purchase PLEX when the time comes to make donations. I will update this thread to track dividend payments and contact VV monthly with the amounts as he suggested. Seems to be all the details needed at the moment with how this works! Excellent.

6 – The Future

If it’s not growing then it’s not generating profit, so obviously I have to plan for the future. As the NAV increases it may allow for more asset purchases to be used as collateral opening the way for increased outside investment. I may also open up for more unsecured debt either with people I know, corp mates, etc., or on the MD forums again if I see the potential for more growth with the increased capital. The risks posed by this iwll have to be judged as and when the situation arises, I will always remain clear and open about what is going on however.

Share buyback may be requested in the future for any number of reasons, remember RL can happen and game changes may occur forcing a change, etc. So long as things haven’t gone horribly horribly wrong making it impossible to guarantee then I will offer a buyback price guarantee now of 110% of original share price, ie 1,100,000. This continues my 110% investment return guarantee. Please note this price is only valid if I initiate the buyback, not if you change your mind about your investment or wish to cash out your shares. If you wish to have your investment returned please let me know via evemail and through this forum giving people a chance to offer to buy the shares from you. After considering the company position I may CHOOSE to offer a price for them if it is in the companies best interest but this will be decided by me at the time.

7 – Disclosure of Risks

I hope the security I have put in place will alleviate many of the concerns, the risks in this IPO concern mainly the uncollateralised portion of it. All risks are ultimately up to yourself to determine.

Firstly I am one person which brings the risk of burnout. I think the risk of this is less than the risk of having too many hands in the cookie jar though. I do love EVE and even a modest amount of effort can bring good returns in trading, however, so burnout is not something I consider a high risk.

RL happens, and often whether you want it to or not it can take priority over EVE. I may not want to get hit by a bus but there’s nothing to say it wont happen. I’m not going to share my account details with someone in advance ‘just incase’, so in the event of me being disabled from playing the game completely I apologise in advance ..

The risk of scamming is of course also there. As a portion of this IPO will be opened as unsecured I will be very clear here and remind you of the risk of a scam that is ever present in any investment. I can promise I wont scam, but there’s no way for you to tell such a thing, so I will leave this part up to you to judge for yourself – do not invest more than you can afford to lose in anything on MD, you guys are smart enough you know all this, but I am trying to be as clear as possible.

The third party could also scam, I too am placing my trust at this point of the IPO and you can bet your behind if it’s stolen I’ll do my best to get it back or earn the isk again. However I’ve built up this isk from the start before and I can do it again, however much I hate the idea of having someone steal from me

Tying into the risk of scam is you having to take my word for it with my accounts, alts, stated NAV, etc., but I hope having collateralised the most pertinent part of this IPO (Ie the part I’m openly offering and expect to fill from MD posters) will alleviate any worries about this somewhat. I will not be getting an <span class="explanatory-dictionary-highlight" data-definition="explanatory-dictionary-definition-1">audit, though I understand VV has stopped doing them and I am not sure there is anyone else that does them anyway? As excellent a tool as they are I don’t feel they’ll help enough for the time and effort that it will take to get one. I’ll have to leave this up to you to judge for yourself, but if in doubt stick to the secured portion.

War decs, etc., not entirely relevant as I will be in a station, all hauling will be done securely and at this time there is no corp POS.

All the risks above can apply to any MD offering so I expect to be judged as harshly as they all are, but I also hope the launch is successful and isk can be made for everyone :D/

8 – Anything else?

This is quite a lot of writing I think. I hope it’s as clear as can be. Any questions, comments, suggestions, are all welcome. No doubt there are some mistakes, or some sort of improvements that could be made, so hopefully it’ll all be good by the time it’s launched
