Overview</strong></span><br /><br />VAHFT is about to launch a series of Mutual Funds within the Vahrokh&#8217;s EvE&#8217;s Merchantile Exchange [VEMEX]. The purpose of this IPO is to raise Investors capital to finance the initiative. VAHCO is going to be invested as well, for an amount of 10B evenly spread across the funds.<br />Funds are meant to be a long term investment, however Investors may choose to stay invested for as little as one month.<br />VAHFT opted to offer a series of multiple funds in order to cater to different Investor preferences.<br />The products cover a broad spectrum, from a &#8220;no brainer&#8221; simplified open end fund to more speculative funds based on Tech 2 materials.<br /><br /></p>

VEMEX Exchange</strong></span><br /><br />All the Funds covered by this IPO will be traded on the Vahrokh&#8217;s EvE&#8217;s Merchantile Exchange [VEMEX].<br />Easy Fund Investors will have little interaction with it, in fact at IPO launch they&#8217;ll receive their shares and everything will go on autopilot until they want to redeem them (redeeming is done by &#8220;selling&#8221; on the Exchange). <p><br /><span style="text-decoration: underline;"><strong>5. Business Plan Overview</strong></span><br /><br />The Funds Manager will perform a number of activities, namely:<br /><br />&#8211; Invest in fully collateralized loans and bonds (Easy Fund only).<br />&#8211; Buy and hold and then sell the various Funds underlying commodities (long term strategy).<br />&#8211; Station trade the various Funds underlying commodities (short term strategy).<br />&#8211; Decide if and when to switch from long to short term strategy or when use a mix of the two. The short term strategy will be mostly used during downturns of the markets (see summer). As a safety precaution, lower profits will be chosen over overwork leading to burnout.<br />&#8211; Constantly evaluate the current baskets underlying commodities, in order to take in the better performers and out the worse performers.<br />&#8211; Decide one or multiple hedging strategies, including saving some of the profits made in the best seasons in order to release them during the worst ones (this makes the investment curve smoother).<br />&#8211; Decide how much capital to keep liquid. This is going to be expecially prevalent on the Easy Fund, because Investors may come and go as they wish and thus a certain guaranteed liquidity has to be held.<br /><br /></p>

<p><br /><span style="text-decoration: underline;"><strong>6. Management</strong></span><br /><br />Due to the number of tasks involved at managing the Funds, there will be a management fee, in the meausure of 7 percent on the net capital gains.<br />Full details about this and other aspects about the Funds are available at each Fund&#8217;s prospectus page.<br /><br />After the reservation phase is over and Investors have sent their money, each of them will receive a corresponding number of shares. From now on, Easy Fund Investors have nothing else to do, while the others may either do nothing (and just take dividends) or trade their shares.<br /><br /></p>

<p><br /><span style="text-decoration: underline;"><strong>7. Expansion and Exit Strategies</strong></span><br /><br />In case the funds are performing very well and are close to their caps, they may be expanded.<br />Closed end funds will have additional shares issued and current Investors holdings will be adjusted so that their shares don&#8217;t get diluted. Notice how this is going to be a very rare event.<br />The Easy Fund is open ended instead, so it may potentially grow forever. It is going to be capped however, the planned total NAV across all the funds is 100B, with a forecast ability to output a 2 percent ROI.<br /><br />In case the Funds have to shut down, the Management will do the possible to liquidate the underlying stock as fast as possible. This may take a while in case of low EvE activity periods of the year.<br /><br /></p>

<p><br /><span style="text-decoration: underline;"><strong>8. Investor Key Facts</strong></span><br /><br />&#8211; At IPO launch, the shares face value is 1M ISK. This applies to all the funds.<br /><br />&#8211; Dividends will be paid monthly, possibly within the end of the first week of the month. The first dividends will be paid on December.<br /><br />&#8211; Dividends will be calculated as 90 percent of the profit less the management fee. It is possible that some profits could be held to improve the &#8220;low of the year&#8221; months performance.<br /><br />&#8211; VAHFT may force buyback of shares at their nominal value (in example, in case of Funds shutdown or downsizing). If possible buybacks will be notified a month in advance. Buybacks will be spread across all the Investors of the affected Fund.<br /><br />&#8211; There is a grand total NAV cap currently set at 100B. The closed end Funds total NAV cap is currently set at 60B, leaving 40B for the Easy Fund. Depending on the IPO success, these caps may be altered but the 100B grand total cap is here to stay. At first, Market Makers will be limited to 40B (of the closed end Funds, the only available to them).<br /><br />&#8211; All the IPO launch shares incur in <strong>no fee whatsoever</strong> and they will not need to do anything on the exchange at all. Only post launch activities will and usually only in case of sales.<br /><br />&#8211; Easy Fund Investors may simply redeem their shares, they don&#8217;t have a secondary market. They may also trade their shares out of the exchange but then they will have to notify VAHFT about that, otherwise the old shareholder will still receive the dividends. In case of private trading, the former share holder is meant to give a pro-rated dividend to the new share holder. In no circumstance VAHFT or VEMEX will disburse missing dividends.<br /><br />&#8211; Closed end Fund Investors <strong>may not</strong> just redeem shares. Like for stocks trading, they have to find a buyer on the exchange. VAHFT provides a &#8220;bailout&#8221; emergency mechanism so that even closed end Fund Investors may directly sell their shares back to VAHFT itself, but with a fixed penalty of 8 percent. Added to the exchange fee, this easily becomes 10 percent.<br /><br />&#8211; The ability to short sell is only available to closed end Funds. VAHFT may decide at their sole discretion to stop accepting short sell orders (they require additional liquidity).</p>
<p>&#8211; Only the current owner of a share receives the full dividend. Therefore it&#8217;s advised to sell shares near the end of the month. This includes Easy Fund Investors who want to redeem their shares.<br /><br />&#8211; In case of large redeeming operations, VAHFT reserve the undisputable right to partially liquidate Investors ASAP and the remaining part as stock is liquidated. This issue will be greatly reduced in case the Investor contacts the Management (Vaerah Vahrokha, please always use EvE Mail so to have written records) in advance. Two weeks would be the optimum.<br /><br /></p>

<p><br /><span style="text-decoration: underline;"><strong>9. Market Makers</strong></span><br /><br />Only at IPO launch and at expansions, large Investors may choose to be a Market Maker. Market Makers have unique features and limitations:<br /><br />&#8211; They will only pay 96 percent of face value, that is 0.96M per share. This is a potential 400M profit &#8211; fees just by flipping those shares on the secondary market.<br /><br />&#8211; They must tell about their will to be Market Maker at reservation phase and no later.<br /><br />&#8211; They only belong to the closed end funds, since there&#8217;s no market to make in the Easy Fund.<br /><br />&#8211; Minimum shares block: 10B in the preferred fund(s). <div>I think this is a great idea.<br /><br />I am all for the ability to donate to charity using ISK. Gives me a good feeling about spending so much time paying Eve and making ISK <img src="https://s.w.org/images/core/emoji/14.0.0/72x72/1f642.png" alt="🙂" class="wp-smiley" style="height: 1em; max-height: 1em;" /><br /><br />Eve radio and some others took in small donations during the last charity drive, and I am all for being able to donate amounts smaller than a <span class="explanatory-dictionary-highlight" data-definition="explanatory-dictionary-definition-6">PLEX</span>. Every little bit counts.<br /><br />I initially pledge 500m towards this charity- though I am not yet sure whether I want to manage it myself or give it to the fund.<br /><br />Best of luck.</div>

I am seeking 10 billion isk  for this purpose. The bond will run for a guaranteed minimum of at least 3  months and will be 120% collateralised. I will initially ask Grendell if he will  hold the collateral; if not I will turn to one of the other trusted forum  figures.<br /><br />The basic interest rate being offered is 4%. However, I will  give priority to anyone accepting a 3% return. I will, however, be seeking to change the terms of the bond with the  agreement of the bond holders (or, technically, close and then restart the  bond). With the recent rises in the price of Technetium its sell order value is  in the 65k range now. The collateral consists of 350k units, giving a sell order  value of just under 23bil covering the secured 10bil section of this bond. I  would like to withdraw half of the collateral in order to give myself some  additional flexibility (actually, I&#8217;d like to withdraw it all ).  Please let me know whether this is acceptable.<br /><br />@LostHamster &#8211; when I next  pay the interest on the 7th of October please send your 5.5bil investment direct  to Grendell. There is no need to complicate things by passing it through  me.<br /><br />In other news: earlier in the thread I mentioned that I had an  additional 10bil in unsecured loans from flakeys (in addition to his 10bil in  this bond). These will be repaid by the 7th of October. I also currently have a  further 20bil in secured loans from flakeys. These have at least another month  to run.<br /><br />I will provide a brief report on my investments when I pay out  the next batch of interest.</div>

This is an  IPO from a new face. Like many in EVE I have taken part in various forms of PVE  and PVP. In this time I have traded off and on but due to changes in RL  circumstances and a changing style of play/goal development I have taken to  trading more seriously. I have been quite profitable in the last couple of  months and the next step to my EVE enjoyment is launching my own company. I’m  the kind of person that likes spreadsheets, databases and empire building, so  this game and running an IPO appeals to me.<br /><br />I have several accounts and  many alts. I’m not going to list all my faceless trade alts, PVP alts, cyno alts  etc. etc.. Arcyaxiom would be my ‘main’ if any can count as that though, but I  love all my alts equally <img src="https://s.w.org/images/core/emoji/14.0.0/72x72/1f609.png" alt="😉" class="wp-smiley" style="height: 1em; max-height: 1em;" /> None of my characters are tied to any politics or  alliances or have any conflicts of interest and I can’t think of anything else  to say about this? Any changes to how the  company is structured would not be undertaken without public consultation. If  any services are outsourced they will be done without risking corp  assets.<br /><br />3 &#8211; The Business Model<br /><br />At this moment it is 99% in-station  trading. There’s nothing magical about this or new, I buy low and sell high and  the spread is called profit. This is done in Jita 4 4. I do on occasion go  scouting outside to different regions for any ‘bargains’ and this can often  bring in quick and high profits. Any hauling is done securely either with T2  transport or freighter services. All hauling will be fully collateralised so  company assets are not risked.<br /><br />I have in the past few months manufactured  ships also, which was nicely profitable, but have withdrawn to concentrate on  trading. As the company NAV builds other avenues may be explored, such as  expanding back into manufacturing, to take full advantage of the capital  available, but intend to keep the business as highly liquid as possible. As  the NAV increases it may allow for more asset purchases to be used as collateral  opening the way for increased outside investment. I may also open up for more  unsecured debt either with people I know, corp mates, etc., or on the MD forums  again if I see the potential for more growth with the increased capital. <div id="forumSignature">7 &#8211; Disclosure of Risks<br /><br />I hope the security I have  put in place will alleviate many of the concerns, the risks in this IPO concern  mainly the uncollateralised portion of it. All risks are ultimately up to  yourself to determine.<br /><br />Firstly I am one person which brings the risk of  burnout. I think the risk of this is less than the risk of having too many hands  in the cookie jar though. I do love EVE and even a modest amount of effort can  bring good returns in trading, however, so burnout is not something I consider a  high risk.<br /><br />RL happens, and often whether you want it to or not it can  take priority over EVE. I may not want to get hit by a bus but there’s nothing  to say it wont happen. I’m not going to share my account details with someone in  advance ‘just incase’, so in the event of me being disabled from playing the  game completely I apologise in advance ..<br /><br />The risk of scamming is of  course also there. As a portion of this IPO will be opened as unsecured I will  be very clear here and remind you of the risk of a scam that is ever present in  any investment. I can promise I wont scam, but there’s no way for you to tell  such a thing, so I will leave this part up to you to judge for yourself &#8211; do not  invest more than you can afford to lose in anything on MD, you guys are smart  enough you know all this, but I am trying to be as clear as possible.<br /><br />The  third party could also scam, I too am placing my trust at this point of the IPO  and you can bet your behind if it’s stolen I’ll do my best to get it back or  earn the isk again. We have extensive connections within both Caldari and  Amarrian regions of space and are looking to start a corporate-level  manufacturing operation.<br /><br />Chapter 2 &#8211; Background<br />I&#8217;ve been playing EVE  since the start of April &#8217;08. My main main is a combat orientated pilot that is  currently on sabbatical due to dodgy internet connections. So far he has been  involved in most everything connected with combat from n00b fail-tackler up to  alliance CEO.<br /><br />Lauren is my second attempt at a main alt account and was  initially created and skill focused into a gank mission CNR to earn the isk  necessary for the then main to do what he was supposed to do. Since the issues  with my net connection started my focus has shifted more towards this character  and training has progressed through marketing to production and will be moving  to invention shortly.<br /><br />One of the things that I&#8217;ve been interested in is  the investment side of things which started as a by product of visiting this  section of the forums. The simple part is that I have a desire to run a  corporation that has its fingers in several different pies and one of those pies  is having investors. The whole responsibility to others thing and proving that I  can do what I claim.<br /><br />Chapter 3 &#8211; Corporate Governance<br />The Full Pocket  Aggro corporation itself is a totalitarian dictatorship. There is now and will  only ever be myself with a finger on anything approaching the nuclear button. As  and when new members are admitted there will be strict control over access  rights to corporate assets. This will be achieved through the combined use of  specific roles and station based level privileges.<br /><br />For all outside  operations the corporation is controlled through a shell corporation called “FPA  Holdings” which is in turn controlled by Sosumi U&#8217;hole, one of my alts. This  shell corporation exists to handle shareholder involvements and decision-making  related to any external activity that the main corporation is involved  in.<br /><br />In practice this means that any and all internal matters are at the  absolute discretion of myself whilst all matters arising due to external  operations are handled via the shareholders at the direction of  myself.<br /><br />Chapter 4 &#8211; The Business Plan<br />The manufacturing operation that  is being set up will focus on T1 construction covering the areas of Ship  Modifications, POS towers and modules as well as Capital construction parts. For  this I propose to allocate 5 of my available manufacturing slots to this  venture.<br /><br />All materials will be sourced from the market at sell order  prices from one of the major hubs. Depending upon price differentials items may  be purchased some distance from the manufacturing base and transported to the  local hub via suitably collateralised courier contracts or direct to the  manufacturing base in a suitable ship.<br /><br />A “suitable ship” includes both T2  industrial variants as well as other ships more appropriate. For example, small  volume high value cargoes can be carried in cov-op frigates for which I have  several characters that can perform this and these are not directly involved in  the operation.<br /><br />All manufactured items will be sold at my local hub and I  have the requisite skills to create and modify market orders at this location  from both my normal location and the manufacturing location. Similarly I have  the requisite skills to operate the manufacturing jobs remotely from my normal  location.<br /><br />cont&#8230;</div>

<div id="forumSignature">Wherever possible pure manufacturing profit will be  sought to ensure a high velocity of turnover. This will mean that where an  acceptable profit margin is found manufactured items will be disposed of via  market buy orders. In all other cases manufactured items will be disposed of via  managed market sell orders.<br /><br />Rather than looking for a given return  percentage I focus more upon actual profit value and past experience indicates  that between 4M and 10M per manufacturing slot per day is readily achievable. It  should be noted that continuous daily production on all allocated slots is not  guaranteed but I believe that a minimum of 15 slot days of manufacturing per  week can be turned around. This would give an approximate profit of between 60M  and 150M per week likely averaging out at around the 100M mark.<br /><br />Where  practical the business will be kept as liquid as possible so therefore there  will be no inventory kept. Isk velocity is vital to the method of operation for  this business.<br /><br />Profits will be disbursed in the following manner:<br />25%  will be retained by the corporation for future development of the corporation  and its businesses.<br />25% will be retained by myself as recompense for time  spent, skills invested, slots used and managing the business.<br />50% will be  paid as dividends to shareholders.<br /><br />This will mean that the business  always has an operating capital of 1B isk available to it. This method has been  chosen to limit the rise in earnings from individual shares and allow a simpler  method of expansion in the future.<br /><br />The ratio of investment to corporate  NAV will be kept to a maximum of <span class="explanatory-dictionary-highlight" data-definition="explanatory-dictionary-definition-10000"><span class="explanatory-dictionary-highlight" data-definition="explanatory-dictionary-definition-10001"><span class="explanatory-dictionary-highlight" data-definition="explanatory-dictionary-definition-10002"><span class="explanatory-dictionary-highlight" data-definition="explanatory-dictionary-definition-10003"><span class="explanatory-dictionary-highlight" data-definition="explanatory-dictionary-definition-10004"><span class="explanatory-dictionary-highlight" data-definition="explanatory-dictionary-definition-10005"><span class="explanatory-dictionary-highlight" data-definition="explanatory-dictionary-definition-10006"><span class="explanatory-dictionary-highlight" data-definition="explanatory-dictionary-definition-10007">1</span></span></span></span></span></span></span></span>:2. So that the corporate NAV will never be  less than twice the value of investment. The calculation of NAV for this matter  will be based solely upon assets that are not in space and subject to  destruction. This means that the first 300M of NAV increase will be used to  achieve this balance.<br /><br />Any expansion that takes place will be based upon  an increase in the NAV of the corporation and that increase in NAV will be  naturally limited to half the amount being earned by the investors. I believe  that this limiting of growth will preserve the integrity of the business and  allow it a controlled development in the future.<br /><br />Chapter 5 &#8211; Statement of  Assets<br />The corporation currently posses&#8217; blueprints. These are, in all but  one case, researched to their perfect material level and where material research  is not possible they have had their productivity levels researched to a sensibly  chosen level. There is no need to deploy it for the purposes of this IPO and it will  remain in storage.<br /><br />Asset value: ~200M isk.<br /><br />Chapter 6 &#8211; Full  Disclosure of Risks<br />The largest risk is that I simply walk off with all  invested isk. I state this simply because this is true of any offering with no  collateral attached. The mitigating factor here would be that of my personal isk  earning ability and current assets when compared to the size of the offering. I  can offer a guarantee that this is not a scam but these would merely be words.  In addition, the structure outlined at the end of chapter 4 for the increase of  unsecured investment into the corporation should ensure that there is no flurry  of expansions and that therefore the amount of isk available as temptation  should always remain small in comparison to both my personal isk generating  potential and my personal NAV.<br /><br />cont&#8230;.</div>

<div id="forumSignature">There is a risk that the markets in which I operate will  suffer wild variance or a step change in value. Whilst I am limited in sphere of  operation there is, I feel, sufficient coverage within that sphere for such  variance to be ridden out or avoided until the markets re-stabilise. The worst  case scenario here would be for a massive swing to take place during a period of  manufacturing which would devalue the working capital at my disposal. To this  end there is provision made within the disbursements to enable some protection  in such a case but I cannot guarantee that profit levels will not be adversely  affected for a period of several months. Should such a situation be encountered  a profit warning statement will be issued detailing the cause, the severity, the  anticipated duration and details steps being undertaken to force a  recovery.<br /><br />Due to my connection (dial-up access over a standard phone  line) patches cause me a downtime relative to their size. The final part of the  Incursion expansion, being as it includes the new character creator, will likely  be a sizeable download that will necessitate a period of absence from in-game  activities for a period of several days. There is then the associated risks of  further patching of indeterminate size at indeterminate intervals. However, even  a full size download would not require an absence of more than two or three days  as I can source updates/clients from external high-speed internet  connections.<br /><br />All of my accounts are subscribed through <span class="explanatory-dictionary-highlight" data-definition="explanatory-dictionary-definition-6">PLEX</span> and this is a  situation that I intend to continue since the actual earning of isk is something  that I enjoy and I see no reason to spend real money when this option is  available. This risk is increased by my internet connection (see above) however  I am mostly successful in maintaining a wallet balance sufficient to cover a  period of <span class="explanatory-dictionary-highlight" data-definition="explanatory-dictionary-definition-10000"><span class="explanatory-dictionary-highlight" data-definition="explanatory-dictionary-definition-10001"><span class="explanatory-dictionary-highlight" data-definition="explanatory-dictionary-definition-10002"><span class="explanatory-dictionary-highlight" data-definition="explanatory-dictionary-definition-10003"><span class="explanatory-dictionary-highlight" data-definition="explanatory-dictionary-definition-10004"><span class="explanatory-dictionary-highlight" data-definition="explanatory-dictionary-definition-10005"><span class="explanatory-dictionary-highlight" data-definition="explanatory-dictionary-definition-10006"><span class="explanatory-dictionary-highlight" data-definition="explanatory-dictionary-definition-10007">1</span></span></span></span></span></span></span></span> month for all accounts.<br /><br />There is a risk of real-life injury  limiting my in-game ability. The previous January saw me suffer fractures  adjacent to the elbow of my right arm both above and below. This meant that I  was unable to do much due to an adverse reaction to the painkillers subscribed  as well as the physical incapacity of my predominant arm which in-turn led to  the deactivation of my accounts which I was unable to finance with real money  due to being placed out of work by the same injury. The injury itself was  sustained due to adverse weather conditions and exacerbated by a delay in  obtaining treatment due to the same. This is, however a minimal risk since in  such conditions I have changed what I do since I have absolutely no wish to go  through that experience a second time. Should something similar befall me the  accounts will be resubscribed at the earliest opportunity and certainly no later  than the reactivation emails that are automatically generated after a period of  three months. In this case a shareholder vote will be issued on the continuation  of the business with the likely result expected to be to liquidate enough  corporate assets to provide adequate compensation for the missing payments and  to shut down the business.<br /><br />In the event of my death then the house wins.  I do not consider a game of sufficient worth to trouble my relatives and friends  with detailed instructions on how to honour outstanding commitments in-game at  such a time. I, of course, will not be in a position to care at this  point.<br /><br />Chapter 7 &#8211; Full Disclosure of Main and Alts<br />As previously  stated I have three accounts each of which contains three characters. This,  Lauren Hellfury, is what I currently consider to be my main character despite it  not being the oldest or highest SP of the nine available.<br /><br />I strongly  encourage you to do your own research on my posts within the forum on all  specified alts and my corporate history. There is only one clear-cut exit strategy in  place which would be a vote of no confidence in the operation being proposed by  an investor and passed by a simple majority. In such a vote no CEO or corporate  shares will be voted – it will be a pure shareholder decision. In the event that  the vote is passed the business will liquidate its remaining stocks and all  shares will be bought back at initial value with any shortfall to be made up out  of my personal wallet or the sale of corporate assets at my  discretion.<br /><br />There will be no formal share buy-back scheme although  individual cases will be assessed on their merits and compared to personal  funding.<br /><br />If any investor is unsatisfied with their position then aside  from attempting to close down the business their main recourse would be the sale  of their shares to another party.<br /><br />Chapter 9 &#8211; Yes, this does mean that I have indulged in some activities  that certain people frown on but none of those activities required direct  dishonesty or dishonour. For example I&#8217;ve never dishonoured a ransom or 1v1 and  never given outright lies to further my own position or goals – I should note  that I did some work as an alliance diplomat for a while which is why I used the  phrase “outright lies” some massaging of the truth is required in such a  capacity.<br /><br />Q: Will you ever buy back shares?<br />A: Not as standard  practice. As stated in chapter 7 individual requests will be assessed on their  own merits but my primary aim is to have the corporate business operate as a  publicly traded entity. Any shares that I do offer to buy-back will be done so  strictly at issue value rather than current market value.<br /><br />I will,  however, facilitate any share transfers that players make by acting as a broker  for my own shares with a 0% commission.<br /><br />Q: Will you ever pay over 50% of  profit as dividends?<br />A: No. The scheme is structured so that the working  capital remains uniform to try and achieve a semi-stable return rate. Should the  return rate start to look too high then discussions will be initiated with  shareholders to attempt to restructure the agreement to a more favourable  position for all involved. No, I don&#8217;t expect this to be an easy discussion  should it take place.<br /><br />Q: What if someone War Decs Full Pocket  Aggro?<br />A: Investors should be happy! Seriously. The business is based around  operations within stations, a war-dec will limit my personal freedoms to engage  in normal activities but any hauling can be out-sourced from the corporation.  This is simple to achieve with either public courier contracts or by having a  hauler leave the corporation for the duration of the war. There are no assets in  space to attack and I can personally engage in additional manufacturing or  market activities so there is little to be gained from any war-dec anyway.</div>
